Terms of Service

1. Eligibility

You may use NexCam only if you:

• are at least 18 years of age or have reached the legal age of majority in your jurisdiction;
• have the legal capacity to enter into a binding agreement;
• are permitted to use the Services under applicable law.

You are responsible for ensuring that your use of NexCam complies with the laws applicable in your country or region.

2. User Accounts

Certain NexCam features may require an account.

When creating or maintaining an account, you agree to:

• provide accurate and reasonably current information;
• maintain the confidentiality of your login credentials;
• not knowingly allow unauthorized persons to access your account;
• promptly notify us if you believe your account has been compromised.

You are responsible for activity performed through your account unless applicable law provides otherwise.

We may require additional verification where reasonably necessary to protect the security of the Services or investigate suspected misuse.

3. Description of NexCam

NexCam is an online communication platform designed to allow users to connect and interact with other people.

Depending on availability, device compatibility, and your access level, NexCam may provide features such as:

• text messaging;
• private conversations;
• voice calls;
• video calls;
• user profiles;
• contact and communication tools;
• notifications;
• sharing of media or files;
• communication history;
• premium functionality;
• additional social or communication features introduced from time to time.

Some features may require a paid subscription or fixed-term access purchase.

Functionality may vary depending on device type, operating system, geographic location, network connection, account status, purchased access, or technical limitations.

We may improve, modify, replace, restrict, or discontinue individual features where reasonably necessary.

4. Communications Between Users

NexCam enables communication between independent users.

Users are responsible for their own messages, calls, profile information, files, media, statements, and other content transmitted or shared through NexCam.

Innovexa OÜ does not endorse or guarantee the identity, statements, intentions, conduct, availability, or reliability of individual users.

You should exercise appropriate judgment when communicating with people through the Services.

You agree not to use NexCam to:

• harass, threaten, stalk, intimidate, or abuse another person;
• impersonate another individual or organization;
• intentionally deceive or defraud another user;
• distribute unlawful, abusive, or malicious material;
• transmit malware or harmful software;
• infringe another person's intellectual property, privacy, publicity, or other rights;
• promote or facilitate unlawful activity.

We may take reasonable action against accounts or content that violate these Terms.

5. Subscription Services

NexCam may provide premium functionality through an automatically renewing subscription.

The current subscription billing structure is:

• USD 0.99 for the first 7-day billing period
• USD 39.99 for each subsequent 28-day billing period

This subscription does not include a free trial unless a different promotion is expressly displayed and accepted before purchase.

After the first 7-day period, the subscription automatically renews at USD 39.99 for successive 28-day billing periods until canceled.

The applicable price, billing interval, and renewal terms will be displayed before you confirm your purchase.

By purchasing the subscription, you authorize the applicable payment provider to charge your selected payment method according to the disclosed billing schedule.

You must cancel before an upcoming renewal if you do not wish to incur the next recurring charge.

6. Fixed-Term Access Purchases

NexCam may also offer paid access for a predetermined period through one-time purchases that do not automatically renew.

Available options may include:

• 7-day access — USD 4.99
• 14-day access — USD 19.99
• 30-day access — USD 49.99
• 90-day access — USD 99.99
• Special Offer: 14-day access — USD 4.99, when available

A fixed-term purchase provides access only for the period specified at checkout.

These purchases:

• do not automatically renew;
• expire automatically at the end of the purchased period;
• are intended for the purchasing user;
• cannot normally be transferred to another account;
• have no cash value.

Once the access period expires, another purchase or an active subscription is required to continue using the applicable paid features.

Promotional offers may be limited by time, account, region, campaign, or other eligibility conditions.

7. Payments

Payments for NexCam may be handled by independent third-party payment providers.

By completing a transaction, you confirm that:

• you are authorized to use the selected payment method;
• information provided in connection with the payment is accurate;
• you authorize the applicable purchase or recurring charge;
• you understand the price and billing period displayed before completing the transaction.

Applicable taxes may be added where required by law.

Payment providers may process payment and billing information in accordance with their own terms, privacy policies, security measures, and legal obligations.

Innovexa OÜ generally does not need to receive or store complete payment card information where those details are processed directly by a payment provider.

8. Automatic Renewal

Recurring subscriptions continue until canceled.

The introductory first billing period of USD 0.99 for 7 days applies only to the initial subscription period unless expressly stated otherwise.

Following that period, the regular recurring price is USD 39.99 for every 28-day billing period.

The subscription will continue renewing at the applicable recurring rate until you cancel it.

9. Cancellation

You may cancel an active subscription through the available subscription-management functionality or by contacting us where applicable.

Cancellation stops future automatic renewals.

Unless otherwise required by applicable law:

• cancellation does not automatically reverse a charge that has already been successfully processed;
• paid access normally continues until the end of the current billing period.

Deleting the NexCam application or ceasing to use the Services does not necessarily cancel an active subscription.

10. Refunds

Refunds and payment disputes are governed by the NexCam Refund and Cancellation Policy and applicable consumer law.

Digital Services that have already been activated, provided, or made available may not be refundable except where required by law or where we approve a refund under the circumstances described in our Refund and Cancellation Policy.

11. Acceptable Use

You must not use NexCam to:

• violate applicable laws or regulations;
• facilitate fraud or illegal transactions;
• interfere with the operation of the Services;
• gain unauthorized access to systems, accounts, or infrastructure;
• bypass security mechanisms or technical restrictions;
• distribute malware, viruses, or harmful software;
• spam other users or send unsolicited bulk communications;
• scrape, harvest, or systematically collect information without authorization;
• reverse engineer or decompile the Services except where applicable law expressly permits it;
• infringe intellectual property or other legal rights;
• interfere with another person's ability to use NexCam.

We may investigate suspected misuse and take reasonable measures where appropriate.

12. User Content

You retain ownership of content you create and share through NexCam to the extent that you hold rights in that content.

You grant Innovexa OÜ a limited right to process, transmit, store, display, or otherwise handle your content only as reasonably necessary to:

• provide the Services;
• deliver communications;
• maintain requested functionality;
• secure the platform;
• prevent fraud or abuse;
• comply with applicable law.

You are responsible for ensuring that you have the necessary rights to any content you upload, send, or share.

13. Privacy

Our processing of personal information is described in the NexCam Privacy Policy.

Operating a communications platform may require us and our service providers to process information necessary to:

• maintain user accounts;
• authenticate users;
• deliver messages;
• establish calls;
• maintain service reliability;
• process payments;
• detect fraud and abuse;
• provide technical support.

14. Third-Party Services

NexCam may rely on third-party providers for functions including:

• cloud infrastructure;
• communications infrastructure;
• payment processing;
• authentication;
• analytics;
• customer support;
• security and monitoring.

Third-party providers operate under their own legal terms and privacy practices.

To the extent permitted by applicable law, Innovexa OÜ is not responsible for independent services provided directly by third parties.

15. Intellectual Property

NexCam, its software, interfaces, trademarks, logos, graphics, documentation, designs, technology, and other proprietary materials are owned by Innovexa OÜ or its licensors.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, and revocable right to use NexCam for its intended purpose.

You may not, except where authorized by us or permitted by law:

• copy or reproduce the Services;
• sell or sublicense the Services;
• commercially exploit our proprietary technology;
• distribute modified versions of our software;
• remove proprietary notices;
• create unauthorized derivative works.

All rights not expressly granted remain reserved.

16. Service Availability

We aim to provide reliable Services but do not guarantee continuous or uninterrupted operation.

Availability or communication quality may be affected by:

• internet connectivity;
• device performance;
• network conditions;
• telecommunications infrastructure;
• software updates;
• maintenance;
• technical incidents;
• third-party service disruptions;
• legal or regulatory requirements;
• circumstances outside our reasonable control.

Voice and video call quality may vary based on network speed, geographic location, device capabilities, and other technical conditions.

17. Suspension and Termination

We may restrict, suspend, or terminate access to some or all of the Services if we reasonably believe that:

• these Terms have been materially violated;
• fraudulent or abusive conduct has occurred;
• an account presents a security risk;
• payment misuse or fraud is suspected;
• continued access may harm other users or our infrastructure;
• action is required by applicable law or a competent authority.

Where required by law, we will provide appropriate notice or an opportunity to challenge the decision.

18. Disclaimer of Warranties

To the maximum extent permitted by applicable law, NexCam is provided on an "AS IS" and "AS AVAILABLE" basis.

We do not guarantee that:

• the Services will always be uninterrupted;
• every message will be delivered immediately;
• every voice or video call will connect successfully;
• communication quality will always meet a particular standard;
• NexCam will work with every device or network;
• every technical error can be prevented or corrected.

Interactions with other users are undertaken at your own discretion.

Innovexa OÜ does not guarantee the identity, conduct, availability, statements, or intentions of other users.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Innovexa OÜ, its directors, employees, contractors, affiliates, and licensors will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use or inability to use NexCam.

This may include:

• loss of data;
• missed communications;
• service interruptions;
• loss of revenue or profits;
• reputational harm;
• device or network problems;
• actions or statements of other users;
• unauthorized third-party activity.

Where liability cannot legally be excluded, liability will be limited to the maximum extent permitted by applicable law.

Nothing in these Terms excludes or restricts liability that cannot lawfully be excluded.

20. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold Innovexa OÜ harmless from claims, losses, liabilities, costs, or expenses resulting from:

• your unlawful misuse of NexCam;
• your material violation of these Terms;
• your infringement of third-party rights;
• unlawful content or activity attributable to your account.

21. Governing Law

These Terms are governed by the laws of Estonia, without prejudice to mandatory consumer protection rights that may apply in your country of residence.

Nothing in these Terms removes statutory rights that cannot legally be waived.

22. Dispute Resolution

Before commencing formal proceedings, you and Innovexa OÜ are encouraged to make reasonable efforts to resolve disputes through good-faith communication.

If a dispute cannot be resolved informally, it may be submitted to the competent court or dispute-resolution authority determined by applicable law.

Consumers in the European Economic Area may have additional statutory rights regarding consumer dispute resolution.

23. Changes to These Terms

We may revise these Terms when our Services, pricing, functionality, business practices, or legal obligations change.

An updated version will identify its effective date.

Where required by applicable law, material changes will be communicated through appropriate means.

Your continued use of NexCam following the effective date of revised Terms constitutes acceptance of the updated Terms except where applicable law requires additional consent.
